Speakeasy
Can I upgrade a Speakeasy that is not operating (Cop present, no Family Member)?

Yes. The designer ruled that Cops only care about illegal activity (producing, distributing and selling), so an upgrade is fine. The new Nightclub or Casino stays non-operating until a Family Member protects it. Some players read the Golden Rule as forbidding it, but the designer's ruling is the one to follow.
